These Terms of Service apply to your use of the Whapp website and related services. By using the website or requesting services, you agree to these terms. If you enter into a separate written agreement with Whapp, that agreement takes precedence where it conflicts with these terms.
1. About Whapp
Whapp (Pty) Ltd provides WhatsApp automation, AI agents, integrations, booking, ordering, enquiry, and support workflows for businesses.
2. Eligibility and authority
You must have legal capacity to accept these terms. If you act for a company or other organisation, you confirm that you are authorised to bind it.
3. Proposals, fees, and service scope
Prices displayed on the website are indicative unless expressly stated otherwise. Final scope, fees, usage allowances, third-party charges, timelines, payment terms, and support arrangements will be recorded in a quotation, order, or service agreement accepted by both parties. AI token charges, Meta or WhatsApp charges, and out-of-bundle usage may be billed separately where stated.
Annual pricing covers 12 months for the cost of 11 monthly payments and is separate from the month-to-month option. Annual payment, renewal, cancellation and treatment of unused prepaid fees must be confirmed in your written order or service agreement before payment. The annual discount does not itself promise a refund of unused months. Applicable statutory rights are unaffected.
4. Customer responsibilities
You agree to:
- Provide accurate information, instructions, content, and authorised access.
- Obtain required permissions and lawful grounds for customer communications and data processing.
- Use our services lawfully and comply with applicable Meta and WhatsApp policies.
- Review automated outputs, catalogue information, prices, and workflows before relying on them.
- Maintain appropriate human oversight for sensitive, high-risk, or consequential decisions.
5. Acceptable use
You may not use the website or services for unlawful, deceptive, abusive, infringing, malicious, or unsolicited activity; to compromise security; to distribute harmful code; or to interfere with the service or another person's rights. We may suspend access where reasonably necessary to protect users, systems, third parties, or legal compliance.
6. Third-party services and AI
Our solutions may depend on Meta, WhatsApp, AI providers, hosting platforms, calendars, catalogues, APIs, and other third-party services. Their availability, terms, pricing, and policies are outside our control and may change. AI output can be incomplete or inaccurate and must be reviewed where accuracy is important.
7. Intellectual property
Whapp and its licensors retain ownership of the website, software, templates, designs, documentation, know-how, and pre-existing materials. You retain ownership of content and data you lawfully provide. Rights in custom deliverables will be governed by the applicable quotation or service agreement.
Your business retains control of its WhatsApp Business number and associated Meta business assets. Whapp does not take ownership of your number, contacts, leads or conversations. Customer privacy rights continue to apply. Moving to another compatible provider remains subject to Meta's applicable migration and eligibility requirements.
8. Privacy and confidentiality
Personal information is handled as described in our Privacy Policy. Each party must protect confidential information received from the other and use it only for the agreed purpose, subject to lawful disclosure requirements.
9. Availability, warranties, and liability
We aim to provide reliable services, but uninterrupted or error-free operation cannot be guaranteed. To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss. Any limitation or exclusion applies only to the extent allowed by South African law and does not exclude rights or remedies that cannot lawfully be excluded, including applicable consumer rights. Specific service warranties and liability limits may be set out in a separate agreement.
Support scope and hours depend on your plan or written agreement. Issues are assessed by severity and handled on a commercially reasonable basis. Specific response or resolution targets apply only where agreed in a separate SLA. Meta, WhatsApp and other third-party issues may affect resolution times.
With an eligible, active Coexistence setup, your team may continue using the WhatsApp Business App during a Whapp-only outage, provided the app, account, connectivity and Meta services remain available. This is not a guarantee against account restrictions or third-party outages. Backup frequency, retention and recovery arrangements depend on your service configuration and should be confirmed with Whapp. No specific recovery time or zero-data-loss outcome is promised unless agreed in writing.
10. Cancellation and offboarding
Monthly plans run month-to-month with no minimum fixed contract term. Either party may cancel with 30 days' written notice. There are no cancellation, termination or early-exit fees. Charges incurred up to the effective cancellation date remain payable. Send cancellation notices to hello@whapp.co.za. Annual billing is subject to the written arrangements described in section 3.
Access to Whapp ends on the effective termination date. Contact us beforehand to confirm available access or export options. Whapp-only assignments, reports and automation records may not appear in the WhatsApp Business App. For eligible Coexistence setups, cancelling Whapp does not itself transfer your number or instruct Meta to delete Business App history. History availability, synchronisation and exports depend on Meta's supported functionality and your setup; the app is not a complete backup of Whapp records.
Retained data is handled under our Privacy Policy and Data Deletion guidance. Payment, confidentiality, intellectual property, privacy and accrued rights survive termination where applicable.
11. Governing law and changes
These terms are governed by the laws of the Republic of South Africa. We may update them when our services or legal requirements change; the current version will be published here. Last updated: 3 September 2026.
